Terms of Service
These Terms govern your use of the Fixit marketing intelligence platform at www.fix-it.ai, operated by One2X Technology Private Limited (“Fixit”, “we”, “us”). By creating an account or using the Service you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.
1. The Service
Fixit is a business-to-business platform that connects to your advertising accounts — including Meta (Facebook and Instagram) ad accounts — to analyse campaign performance, research competitor advertising, and create or manage advertising campaigns on your instruction.
Fixit is an independent service. It is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc., Google LLC, or any other advertising platform.
2. Eligibility and accounts
- You must be at least 18 and able to form a binding contract.
- You must provide accurate registration information and keep it current.
- You are responsible for everything that happens under your account and for keeping your credentials secure. Tell us immediately at support@fix-it.ai if you suspect unauthorised access.
- We may suspend or terminate accounts that violate these Terms.
3. Connecting your advertising accounts
When you connect a Meta ad account to Fixit you authorise us to access and act on that account within the permissions you grant. You represent that:
- You own the connected ad accounts, or have the account owner’s authorisation to connect them and to permit Fixit to act on them;
- Where you connect a client’s ad account, you have that client’s informed consent and a contract permitting it;
- Your use of the connected accounts complies with Meta’s Terms of Service, Advertising Standards, and Platform Terms.
You may disconnect any account at any time from within Fixit, or by removing Fixit in your Facebook app settings.
4. Campaign changes and spend
Fixit does not spend your money without your approval. Campaigns and ad sets that Fixit creates are created in a paused state. Budget changes, campaign activation, and any other action that causes spend requires your explicit approval within the Service.
You remain solely responsible for:
- All advertising spend incurred on your connected accounts;
- The content, legality, and compliance of your advertising;
- Reviewing recommendations before approving them.
Fixit’s recommendations are informational. Advertising performance depends on factors outside our control, and we do not guarantee any result, return on ad spend, or performance outcome.
5. Acceptable use
You may not:
- Use the Service in violation of any law, or of Meta’s or another platform’s terms;
- Connect an ad account you are not authorised to access;
- Reverse engineer, decompile, scrape, or attempt to extract the source code of the Service;
- Resell, sublicense, or white-label the Service without our written agreement;
- Use the Service to run advertising for illegal goods or services, or content that violates the advertising standards of the platform it runs on;
- Interfere with the Service’s operation, or attempt to circumvent rate limits, access controls, or security measures;
- Use the Service to build a competing product.
6. Fees and payment
Subscription
The Service is sold on a subscription basis. The tier, price, and billing cycle (monthly or annual) that apply to you are those shown at the point of purchase or set out in your order form. Subscriptions renew automatically for successive periods of the same length unless cancelled before the end of the current period.
Payment
Fees are payable in advance for each billing period, by the payment method you register with us. You authorise us and our payment processor to charge that method for all fees due. You are responsible for keeping your payment details current.
Taxes
All fees are exclusive of GST and any other applicable taxes, duties, or withholdings, which are payable by you in addition to the fees.
Non-payment
If a payment fails or is overdue, we may retry the charge, suspend your access to the Service, and, if the amount remains unpaid for 30 days, terminate your account. Suspension does not relieve you of the obligation to pay accrued fees.
Refunds
Fees are non-refundable except where required by law. Cancelling mid-period stops the next renewal; it does not refund the current period, and you keep access until the period ends.
Price changes
We may change our prices. We will give at least 30 days’ notice by email or in-product notice before a change takes effect, and the new price applies from your next renewal. If you do not accept the new price, you may cancel before it takes effect.
Free trials
Where we offer a free trial, the trial converts to a paid subscription at the end of the trial period unless you cancel before it ends. We will tell you the trial length and the price at signup. We may modify or withdraw trials at any time.
Advertising spend
Advertising spend on your connected platforms is paid by you directly to those platforms and is separate from Fixit’s fees.
7. Your data
Your use of the Service is subject to our Privacy Policy, which forms part of these Terms.
You retain all rights in the data you connect to Fixit (“Customer Data”). You grant us a licence to process Customer Data solely to provide and improve the Service. We may use aggregated, anonymised data that cannot identify you or your clients for benchmarking and product development.
Where we process personal data on your behalf, we act as a processor (a Data Processor under India’s Digital Personal Data Protection Act, 2023) on your documented instructions. You are responsible for having a lawful basis for the personal data you connect to the Service, including any client data.
Data obtained from Meta is handled in accordance with Meta’s Platform Terms and Developer Policies, and is deleted as described at www.fix-it.ai/data-deletion-instructions.
8. Intellectual property
Fixit and its licensors own the Service, including all software, models, designs, and documentation. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service during your subscription. Nothing here transfers ownership.
Ad copy, recommendations, and reports the Service generates for you are yours to use.
9. Third-party platforms
The Service depends on APIs operated by Meta and others. Those platforms may change, restrict, or discontinue their APIs at any time. We are not liable for any interruption, data loss, or degradation of the Service caused by a third-party platform’s changes, outages, rate limits, or access decisions, including the suspension or termination of our API access.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL PRODUCE ANY PARTICULAR ADVERTISING RESULT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
This cap does not apply to advertising spend on your connected accounts, which is always your responsibility. Nothing in these Terms limits liability that cannot lawfully be limited.
12. Indemnity
You will indemnify and hold us harmless against claims, damages, and reasonable legal costs arising from your use of the Service, your advertising content, your breach of these Terms, or your connection of an ad account you were not authorised to connect.
13. Term and termination
These Terms apply while you have an account. You may cancel at any time in your account settings. We may suspend or terminate your access for material breach, for non-payment, or if required to by a platform or by law.
On termination: your access ends, and Customer Data and Meta Platform Data are deleted per the schedule in our Privacy Policy. Sections 7, 8, 10, 11, 12, and 15 survive.
14. Changes to these Terms
We may update these Terms. We will post the revised version here and update the effective date. For material changes we will give at least 30 days’ notice by email or in-product notice. Continuing to use the Service after changes take effect means you accept them.
15. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict of law rules. The courts of New Delhi, India have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.
16. General
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between us on this subject.
- Severability. If a provision is unenforceable, the rest stays in force.
- No waiver. Not enforcing a right once doesn’t waive it.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger or sale of the business.
- Force majeure. Neither party is liable for delays caused by events outside its reasonable control.
